We believe that a "Solution Proposal" should offer you more than
products and pricing.  We have compiled a complete proposal that will
give you the information you need to make the buying decision that best
fits your budget and goals.  Below you will find a hardware and
software breakdown of various solutions available.  Astericks "*"
highligh which items are recommended as a standard complete Integrated
Wildcat!(IM) Solution, including totals.  You may use this proposal

Product and Service Overview :

        Providing quality service and products is our focus.  Integrated
Solutions Inc. can be considered a full service company with the ability
to provide you "do-it-yourself" or "turn key" solutions.  We offer
everything from communication programs, online systems, PC and
communication hardware, software integration, custom programming, and
training.  Your Online "BBS" Solution Experts, we can provide you with
the service and quality it requires to install a professional
communication service.

The following is a list of the various solutions available:

1.      Wildcat! Software by Mustang Software Inc. (MSI).  Every online
system needs Wildcat! Software.  Wildcat! is the software that is
responsible for handling incoming calls to the system and the basis for
any online solution.  Wildcat! comes in 4 different versions and offers
a variety of accompanying utilities depending on needs.  Integrated
Solutions Inc is an established Certified Mustang Software Integrator.

         Each version of Wildcat! (excluding IM) is identical except for
the number of nodes it directly supports.  Please refer to your Wildcat!
brochure and accompanying literature for complete details and features
of Wildcat! BBS Software.  Wildcat! IM version requires special hardware
and configuration, but has identical features offered in the 250
node Professional version of Wildcat!.  See Appendix A for details on
Wildcat! (IM) Intelligent Multiport Version.

2.      Multiline and Multinode operation.  Requires specific hardware
considerations for proper performance and operation.  It is imperative
that the proper hardware be approved by Integrated Solutions Inc. in
conjunction with it's hardware division Executive Computers before
consideration for a multiline installation is plausible. Should you
require installation assistance and hardware, Integrated Solutions Inc.
provides a full line of PC's, network solutions, and accessories.  We
also have a full time staff available for quality installations and
service. Below is the various hardware configurations for different
applications of installation.  These are considered basic requirements.
Each system/solution may require additional equipment and/or software.

        a)      Wildcat! (IM) Hardware Basic Requirements.
Supports up to 8 nodes on a single PC with full 38.4kbps throughput with
no speed degradation and 8 full DOS sessions.  You can also link several
8 port IM's together using a Netware 386 network and fileserver for up
to 250 node capabilities.

        b)      Wildcat! can be configured on a stand alone PC or in a
LAN environment.  Should you require a single node installation or wish
to use existing network hardware, Integrated Solutions Inc. can provide
a specific solution quote to meet your needs.  After evaluating your
hardware and network, if we find your existing hardware to meet our
requirements we will offer suggestions and comments in the pursuit of
obtaining a complete solution for you.

3.      Upgrades.  Depending on your needs and requirements several
different variables may require you to consider additional upgrades
over the basic requirements.  You may need additional hard drive space
if you are planning on distributing large amounts of information.
You may need additional software to help support a specific needed
task.  This section outlines clearly the available upgrade options and
recommendations.

4.      Modems.  In order for your online system to receive remote calls
via telephone lines you must have one modem per active node.  Modems range
in price according to speed.  The faster the modem the more expensive.
We have chosen some very reliable and well known brands that have served
the BBS industry faithfully for years.  Choosing a quality modem that is
reliable is a key element of success.

5.      CDROM Compact Laser Disk Drive.  CDROMs can be used for high
capacity availability to a wealth of information available on CDROMs.
A CDROM can offer a lot of information conveniently.

Installation Policy - Setup and Training

        Installation requirements vary with each solution.  Integrated
Solutions Inc. offers the amount of installation required to get the
job done!  We offer a Basic Installation and Setup Cost which includes
specific items listed below.  Additional customization and training is
available upon request for $100.00 per hour fee. Integrated Solutions
Inc. also offers time billing voice support at $12.50 per 15 minutes.
24 Hour Emergency response is available for sysops and/or their callers
and the rate is figured on a case by case basis.  Specialized HUB
support and remote support services are available.

        Basic Turn Key Installation.  A "Turn Key" installation implies
that you turn it on and it works. Integrated Solutions Inc. is unique
to the online industry by being able to offer complete solutions with
every aspect considered.  Our Basic Turn Key Installation includes
approximately 10 hours of full customization.  The items listed below
are included.

        a)      Hardware Integration.  It is vital to the success of
the installation that the hardware is properly configured for a
communication environment.  Our years of experience in installing and
setting up networks, customized PC's, and communication solutions
ensures proper hardware setup.  We often comment, "There is a right
way and a wrong way to do the same job.  The wrong way may work,
but won't work right or to it's full potential."  It takes an expert
to know the difference between a proper configuration and one that
marginally operates with frequent lock ups and system failures.
Communication systems must be reliable and we install reliability.

        b)      Software Integration.  Configuring the hardware is
half the battle.  Proper software setup combined with the installed
hardware is essential.  Integrated Solutions Inc. provides you with
the assurance that your software is installed correctly for proper
performance and operation.

        c)      Customization.  Out of the box Wildcat! operates
within a few minutes.  The basic configuration is not sufficient for
most communication requirements, however.  Our true talent lies in
our ability to properly customize Wildcat! BBS software menus,
commands, features, and functions so that your callers feel
comfortable when they log into your system and they intuitively know
how to navigate online.   It's many years of experience in setting up
Online Services that gives us the knowledge to give you an effective
"polished" look and feel to your system.  This makes the difference
between a successful Online System and one that fails. Implementation
is everything and your success is of course, our success.

        d)      Training.  We also include approximately one hour of
System Operator (Sysop) training.  The designated Online System Operator
receives the proper basic training to maintain the system.  This
training does not include customization training or advanced feature
training.  Basic Sysop training provides the knowledge necessary to
properly operate the system, process callers, manage system message,
file, and user databases. Additional training for advanced features and
customization is available at $100.00 per hour rate.  On-Site Training
is available, however most training is effective via remote access.

        e)      Two free remote follow ups.  After the installation is
complete, the system is properly running and has been fully configured
and customized to specifications, we offer two free remote follow ups.
We can call in remotely at no charge two times to make requested changes
to the Basic Installation remotely.  Should your require any on-site
modifications, you will only be billed for travel and no onsite labor
charges.  Follow up labor is limited to one hour per follow up.
Additional follow ups and customization are available at $100.00 per
hour rate.  Initial travel fee per trip is not included and varies
depending on location.  Out of State travel accomodations are available
per request.

        f)      One hour free phone technical support to use as you
wish.  After a new installation, the System Operator may have minor
questions that we can answer in just a few minutes.  We give you one
full hour of FREE phone technical support from your first call after
installation is complete.  This allows us to answer any questions you
may have and ensure proper maintenance of the system at the Sysop level.
Additional phone technical support is available at 12.50 per 15 minute
increments and must be billable to a valid credit card or funds must be
paid in advance and on retainer.  24 hour emergency response technical
support is also available with a real person to handle your call.  Rates
vary per request.  If you require 24 hour emergency response a separate
contract is available upon request.

        All this is included with your Basic Turn Key Installation.  You
easily save money in development time, man power, and hassle, and you
have the peace of mind to know it was installed, configured and setup
right!

offers premiere solution excellence.  Our reputation for operating and

Software Inc, the leaders in online communications software, with the
knowledge and expertise necessary to integrate and offer a "polished"
installation that operates reliably.

        We have taken great care to detail everything that is and is not
included with your installation.  The proposal is geared to allow you to
make the buying decision that best suits your needs.  Your signature is
required below to accept this proposal, we also ask that you initial each
paragraph in the proposal where noted. Any additional schedules and
amendments must be included with this proposal.

Due to the nature of our business we require full payment, certified
funds, credit card, letter of credit, or other certified means of
payment such as leasing and/or financing.  Each solution is a custom
installation and is developed specifically for each customer and is
impossible to transfer to another customer.   Once your payment is
received we schedule work on your solution immediately.  Leasing and
Financing is available.  50% deposit is required on any guaranteed
deferred payments.
